AMBASSADOR AGREEMENT
By clicking through or otherwise acknowledging this page and/or submitting content to or about Epic Gardening, Inc. (“Epic Gardening”), including images and audiovisual content (collectively, the “Content”), I agree to the following (the “Ambassador Agreement”):

Content License. I grant to Epic Gardening and its affiliates, successors and assigns, an irrevocable, perpetual, and worldwide right and license to use, reproduce, publish, publicly perform, distribute, modify, edit, and prepare derivative works of the Content, and to combine the Content with other content, in any manner in any media, now known or hereafter devised, for any purpose, with or without credit to me. I represent and warrant that I own the Content submitted to Epic Gardening or otherwise have the right to grant the rights and licenses to the Content to Epic Gardening.

Appearance License. To the extent my name, image or likeness (“NIL”) is included in the Content, I grant to Epic Gardening an irrevocable, perpetual, worldwide right and license to use my NIL in any media and for any purpose. If any third party’s NIL is included in the Content, I represent and warrant that such party has permitted Epic Gardening to use that party’s NIL.

FTC Endorsement Guidelines. When you post Content or otherwise promote Epic Gardening’s brand or products, you agree to comply with applicable advertising and marketing rules and regulations, including the FTC’s endorsement guidelines (available at: https://www.ftc.gov/business-guidance/resources/ftcs-endorsement-guides-what-people-are-asking), and all advertising or content guidelines that are applicable on the platforms where I post Content.

Release. I irrevocably and perpetually release Epic Gardening and its affiliates, successors and assigns, from all claims and liability of any kind whatsoever, arising out of or related to, the exercise of any of the foregoing rights granted to Epic Gardening. I acknowledge that Epic Gardening would not use the Content but-for my agreement to these terms, and that I benefit from Epic Gardening’s use of the Content.

Confidentiality. “Confidential Information” means any confidential or non-public information relating to Epic Gardening that I learn during my relationship with Epic Gardening, including any information relating to Epic Gardening products (including products in development), the terms of this Ambassador Agreement or other aspects of my relationship with Epic Gardening. I agree to not disclose any Confidential Information to any third party, except for disclosures that are otherwise permitted or required by law. Termination. The Company may terminate this Ambassador Agreement and your relationship with Epic Gardening at any time, with or without notice to you, and in particular Epic Gardening may terminate your ambassador/affiliate codes with or without notice to you.

Relationship of the Parties. My status under this Ambassador Agreement is that of an independent contractor, not an employee. Nothing in this Ambassador Agreement will be deemed to create any other relationship between the parties.
